Default Upgrading Issues

I'm about to Start upgrading my PC which currently runs on WinME. The first
thing that needs attention is the hard drive which is noisier and less
reliable than it once was. How do i go about replacing all of the information
from one hard drive to the next? Is it as simple as copying from one to
another? or would i have to reinstall all of my programs many of which are
downloaded? ( i don't bother saving the instasllation exe file!) Would i have
to reinstall WinME (Which is a OEM edition bought with the PC)

If you buy a new HD, then (depending on the source and price) it should come
with software to transfer the OOS from the old HD to the new one
(alternatively, you can download the software assuming the HD manufacturer
is not as money-grabbing as fujitsu!).
Having done that, then you should have no problems upgrading providing
1) you make sure that you have no spyware/adware/malware on your system
2) you have checked that the hardware is compatible with your new OS.
