Default Closing Windows programs

Am trying to install Norton I.S. 2004 as an upgrade. The
installation fails because there is apparently another
Windows program running in the background that has
exclusive access to something Norton needs. How do I
determine what Windows program(s) is/are running, and how
do I close them???? There is no evidence on my screen
that I can see of an open program. Any help will be much
appreciated.

1. To see EXEcutables currently running, do
Ctl-Alt-Del and review the list.
2. To see everything currently loaded including
DLLs, / Start / Run / MSINFO32.EXE
