Default General ME to XP?

Looking to upgrade to XP home. Looked on e bay and noticed upgrade packages
that said "Used but now not on any computer as have had computer upgrade,
comes with full product key etc"
Would there be any problem with this is I bought it?
Secondly, would I loose any info and settings on my computer if I upgraded?
Or is it simply a matter of the operating system being replaced with the
programmes and settings let as is?
My reason for asking is that I was burgled and they took off with all my
programme disks so can not replace them
Any advice would be appreciated
