Default upgrading windows 98

I learned that I need to upgrade from an OEM version of 98
to second edition or milleneum in order to run some new
software to sync my cell phone. Is this worth while, or am
I buying more problems than it is worth? If worth the
effort, how do I go about upgrading? Thank you, Scott
