Default Win98SE boot problem

Hello all
Having a problem with windows freezing on startup. I believe it almost gets
to the
desktop before it stops. I can get into safe mode. Here's what I've tried so
far;

Virus scan
spyware scan
turn off graphic card hardware acceleration
in msconfig I unchecked all startup items
booted without win.ini
rebooted without system.ini
boot with step by step confirmation- all goes well until "load all windows
drivers" must be one of these drivers
but why would a windows reload not fix??
from a dos prompt run scanreg-no errors
restore an earlier registry
from a dos prompt run scandisk
made sure there is no sound file upon windows startup

Reload windows, this works for a short period of time...odd, after
loading windows I need to install USB drivers, while loading these
drivers the system needs to reboot, and does so successfully. But
after this if rebooted I'm back to square one

System
AMD 950mhz
256 RAM
Gforce 2MX graphics card
VIA KT400 chipset
MB MSI KT4V

Turn on the computer and bring up the Startup Menu, as you do for Safe
Mode.

Instead of choosing Safe Mode select the "Logged - bootlog.txt"
option.

When it freezes restart the computer and this time boot into Safe
Mode.

There should now be two hidden files in the root directory (C:\) named
bootlog.txt and bootlog.prv

Bootlog.txt will be the file from your successful startup in Safe
Mode.

Bootlog.prv will be from your previous failed attempt to start
normally.

The content of the bootlog.prv file, especially the last 20 or so
lines, should be a direct clue as to the specific cause of the failed
boot.

You can also download a free bootlog analyzer program from
http://dspace.dial.pipex.com/town/terrace/pk29/ which you can use to
check out the bootlog.prv file.
