Jim,

If it says Win98 Second Edition Upgrade on the CD then yes, that's
the one I used to upgrade Win 98. It can also be used to install on
a formatted drive, on a formatted drive however, you will need a
previous Windows CD or diskettes to insert for proof of eligibility
for an upgrade.
