I do not know. It is hard to find the retail upgrade version of win98SE
these days.
Mostly what you see is the OEM version.
I would expect the price to be somewhere around $50-$60 both for the Retail
upgrade version and the OEM version. However, the retail upgrade version
maybe a bit more expensive if you can find it.

Win98SE is not special. It is just Microsoft stopped distributing
win98SE
quite awhile ago. Thus , it is becoming harder to find. You can find it
in
some retail stores (try www.pricewatch.com under operating systems) and
the
easiest place for to get a copy may be ebay.
Win98SE comes in several flavors:
1. Full Retail version - The most expensive. Can be used for a clean
install
or for an upgrade from previous version of windows.
2. Retail upgrade Version - Can be used as an upgrade from a previous
version of windows (3.1, Win95, win98). This version can be used for a
clean
install or an upgrade but requires proof of a qualifying product to
install
(win3.1, win95, win98)
3. OEM Version - This is effectively a full version but was designed for
a
clean install. In some cases it may be fooled and used as an upgrade.

4. The Update Version - This was never sold in retail stores (Best of my
knowledge) but was once available directly from Microsoft. It is
available
on Ebay
This version can only be used to upgrade an existing win98
installation
to win98SE. It will not allow a clean install or an upgrade from any
previous version.

Some of these updates may be had by just updating win98 but not all are
available for win98.
Some of the key reasons for upgrading have been
ICS= Internet connection sharing
Improved USB support = Several USB devices wants win98SE
Several devices (newer Ones) may not have drivers for past operating
system
or they may not support earlier version . Typical items may be wireless,
Cameras, camcorders and other devices. You will see win98SE as minimum
requirements (win98 and previous versions of windows may not be
supported).
Overall for anyone having an older computer which may not run WinXP
(hardware does not meet requirements) win98SE is an excellent choice if
the
hardware supports win98SE.
