No -- i.e. you ought to be able to upgrade to Win98SE.
The upgrade disks I have seen all required Windows to
be loaded in the first place (i.e. did not run under DOS).
Your other difficulties should not prevent an upgrade.
(If you lack USB jacks, we might wonder why you
want to upgrade . . .)
